1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the Thriveherd App and any related features, tools, and outputs, including (without limitation) Fulfilment Profile, Pathways, dashboards, analyses, and downloadable reports (together, the "App").

The App is provided by Thriveherd Limited, a company registered in England and Wales, whose registered office is 128 City Road, London EC1V 2NX ("we", "us", "our", or "Thriveherd").

By accessing or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the App.

You must be at least 18 years old to use the App. By using it, you confirm that you meet this requirement.

These Terms should be read in conjunction with our Community or Service Terms and our Privacy Policy.

2. Nature of the Thriveherd App

The Thriveherd App is a digital platform designed to support career exploration, reflection, and personal development.

The App may analyse information you provide, including questionnaire responses, profile data, and uploaded documents such as a CV or résumé, in order to generate personalised outputs.

The App is intended to:

  • Support reflection and self-understanding
  • Highlight areas for exploration
  • Provide structured perspectives and insights
  • Assist you in forming your own views and decisions

3. Not Advice / No Regulated Services

The App is provided for educational, informational, and exploratory purposes only.

The App:

  • Does not provide career advice, financial advice, legal advice, psychological advice, or professional advice of any kind
  • Does not provide or facilitate any regulated activity (including financial advice or financial products)
  • Does not recommend or direct you to take any specific action
  • Does not guarantee outcomes, opportunities, employment, or results

You acknowledge and agree that:

  • You must not rely on App outputs as a substitute for professional advice or independent judgement
  • You remain fully responsible for your decisions, actions, and outcomes

4. AI Systems and Limitations

The App uses automated systems, including third-party artificial intelligence technologies, to generate outputs.

You acknowledge and accept that:

  • Outputs may be inaccurate, incomplete, misleading, or outdated
  • Outputs are probabilistic in nature and not guaranteed to be correct
  • The App may misunderstand, misinterpret, or oversimplify your inputs
  • Outputs depend heavily on the quality and completeness of the information you provide
  • Career-related information may not reflect current market conditions or your personal circumstances

We do not warrant or guarantee the accuracy, reliability, completeness, or suitability of any output generated by the App.

5. User Responsibilities

By using the App, you agree that:

  • All information you provide is truthful and accurate to the best of your knowledge
  • You will independently verify any information that may influence your decisions
  • You will not treat App outputs as instructions, recommendations, or assurances
  • You will use the App for personal, non-commercial purposes only

You are solely responsible for how you interpret and use the App and its outputs.

6. File Uploads and User Content

The App may allow you to upload documents, including CVs or résumés ("User Content").

By uploading User Content, you confirm that:

  • You have the legal right to upload and use the content
  • The content does not infringe any third-party rights
  • The content is not unlawful, defamatory, or misleading

You grant Thriveherd a non-exclusive, royalty-free, worldwide licence to use, store, and process your User Content for the purpose of providing and improving the App.

We do not verify the accuracy or completeness of User Content and accept no responsibility for errors or omissions within it.

7. Data Use and Third-Party Processing

To provide the App, your data may be processed, stored, and transmitted using third-party service providers, including (without limitation):

  • OpenAI
  • Anthropic
  • Emergent
  • MongoDB
  • Other infrastructure, hosting, or processing providers

By using the App, you acknowledge and agree that your data may be shared with such providers where necessary to operate the App.

8. Service Availability

The App is provided on an "as is" and "as available" basis.

We do not guarantee that:

  • The App will always be available or uninterrupted
  • Errors will be corrected
  • The App will meet your expectations or requirements

We may modify, suspend, or discontinue the App (in whole or in part) at any time.

9. Intellectual Property

All intellectual property rights in the App, including its structure, methodology, frameworks, text, design, and outputs (excluding your User Content), are owned by or licensed to Thriveherd.

You may:

  • Access and use outputs for personal use
  • Download reports for personal reference

You may not:

  • Copy, distribute, resell, or make outputs available to third parties
  • Use outputs for commercial purposes
  • Replicate Thriveherd methodologies, systems, or frameworks

10. Limitation of Liability

To the fullest extent permitted by law, Thriveherd shall not be liable for any loss or damage arising out of or in connection with your use of the App, including (without limitation):

  • Reliance on outputs
  • Career, employment, or business decisions
  • Financial loss or loss of earnings
  • Loss of opportunity or expectation
  • Any actions taken or not taken based on App outputs
  • Indirect or consequential loss

The App may be incorrect, incomplete, or misleading. You use it at your own risk.

Nothing in these Terms excludes or limits liability for:

  • Fraud or fraudulent misrepresentation
  • Death or personal injury caused by negligence
  • Any liability that cannot be excluded under applicable law

11. Indemnity

You agree to indemnify and hold harmless Thriveherd from any claims, losses, damages, or expenses arising from:

  • Your misuse of the App
  • Your breach of these Terms
  • Your reliance on App outputs contrary to these Terms

12. Privacy and Data Protection

Your personal data is processed in accordance with our Privacy Policy:

13. Third-Party Services

The App may rely on or integrate third-party services or technologies. Your use of those services may be subject to separate terms imposed by those third parties.

We are not responsible for third-party services or their availability.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the App.

15. General

  • If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect
  • No failure or delay by us in enforcing any right shall constitute a waiver
  • These Terms do not create rights for third parties under the Contracts (Rights of Third Parties) Act 1999
  • We may update these Terms from time to time; continued use of the App constitutes acceptance of the updated Terms
